Terms of Service

Welcome to Aqulias AI. These Terms of Service (“Terms”) govern the relationship between Sparkhes Limited (“the Company,” “we,” “our,” or “us”), a company registered in England and Wales, and the client (“Client,” “you,” or “your”) purchasing or using our digital services.
By engaging our services, you agree to the following terms:
1. Scope of Services
Aqulias AI provides a range of digital solutions, including but not limited to:
- AI Automation: Development and integration of AI Voice Agents and Chatbots.
- Web Design & Development: Landing page creation and website optimization.
- Platform Setup: Configuration of GoHighLevel (GHL) and third-party CRM tools.
- Recovery Services: Merchant account and payment platform reinstatement assistance.
2. Service Agreements & Proposals
While these Terms provide a general framework, specific project details (deliverables, timelines, and costs) will be outlined in a separate Proposal or Service Agreement. In the event of a conflict, the project-specific agreement shall prevail.
3. Professional Fees & Payments
- Setup Fees: All initial setup, design, and implementation fees are non-refundable as they cover specialized labor and technical resources.
- Retainers/Subscriptions: Monthly maintenance or subscription fees are billed in advance.
- Payment Terms: Invoices are issued by Sparkhes Limited. Payments must be settled within 7 days of the invoice date unless otherwise specified.
4. The 45-Day Performance Promise
Our performance guarantee applies specifically to our AI Automation systems:
- If the AI system fails to meet the predefined KPIs within the first 45 days of the “Go-Live” date, the Client may request a waiver of the subsequent month’s maintenance fee.
- This promise requires the Client to have provided all necessary business data (pricing, insurance, fleet rules) during the training phase.
5. Client Obligations
To ensure project success, the Client agrees to:
- Provide timely access to necessary accounts and documentation.
- Verify the accuracy of information provided for AI training.
- Ensure that their business practices comply with the policies of third-party platforms (e.g., Stripe, PayPal, Meta).
6. Intellectual Property
- Deliverables: Upon full payment, the Client owns the final front-end assets (e.g., website design).
- Proprietary Systems: Any underlying AI frameworks, custom code, or proprietary GHL snapshots developed by Aqulias AI remain the intellectual property of Sparkhes Limited.
7. Limitation of Liability & Disclaimers
- Third-Party Platforms: We are not responsible for the decisions or policy changes made by third-party platforms (Google, Stripe, PayPal, etc.).
- No Guarantee of Results: While we use policy-compliant methods, we do not guarantee specific outcomes such as account reinstatement or a specific number of leads, as these depend on external factors.
8. Confidentiality
Both parties agree to keep all trade secrets, pricing, and business strategies shared during the collaboration strictly confidential.
9. Termination
Either party may terminate the ongoing relationship with 30 days’ written notice. Sparkhes Limited reserves the right to suspend services immediately in the case of non-payment or breach of these Terms.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any legal disputes shall be handled exclusively within the jurisdiction of the English courts.
